VENDALIZE LLC — FEE SCHEDULE

This Fee Schedule is an incorporated policy under, and forms part of, the Vendalize Terms of Service ("Terms"). Capitalized terms used but not defined here have the meanings given in the Terms and in the Private Space License Agreement. In the event of a conflict between this Fee Schedule and the Terms regarding the existence of Vendalize's right to charge fees, the Terms govern; this Fee Schedule governs the specific amounts and computation of those fees.


1. PURPOSE AND SCOPE

This Fee Schedule sets out the Service Fees that Vendalize charges in connection with Bookings made through the Platform. It defines who pays each fee, how each fee is calculated, when each fee is charged, and how fees are treated on cancellation and refund.

This Fee Schedule applies to all Bookings confirmed through the Platform on or after the Effective Date. Vendalize may amend this Fee Schedule prospectively in accordance with Section 8. The fees in effect at the time a Booking is confirmed govern that Booking and are locked into the executed License Agreement for that Booking.


2. DEFINITIONS

For purposes of this Fee Schedule:

  • "Booking Fee" means the amount set by the Property Owner and paid by the Mobile Vendor for the use of a Space, exclusive of Service Fees and applicable taxes. The Booking Fee is the License Fee disbursed to the Property Owner. It is also referred to in the License Agreement as the "Booking Fee."
  • "PO Service Fee" means the fee Vendalize charges the Property Owner, deducted from the Property Owner's payout.
  • "MV Service Fee" means the fee Vendalize charges the Mobile Vendor, charged in addition to the Booking Fee.
  • "Service Fees" means, collectively, the PO Service Fee and the MV Service Fee.
  • "Total Paid by MV" means the Booking Fee plus the MV Service Fee — the total amount charged to the Mobile Vendor at Booking confirmation.
  • "Net Payout to PO" means the Booking Fee minus the PO Service Fee. The Net Payout to PO is stated before any applicable taxes, holds, or adjustments, and before any processor payout fee or dispute fee that the Property Owner bears under Section 4.2(b) or 4.2(c). It is not reduced by the processor's per-transaction processing fee, which Vendalize bears under Section 4.2(a).
  • "Holdover Premium" means the amount a Mobile Vendor owes a Property Owner under License Agreement §10.5 (Failure to Vacate; No Holdover), computed as set out in Section 7.

3. BASE SERVICE FEES

The following base Service Fees apply to every Booking unless a reduced rate applies under a program in Section 5.

3.1 How the fees combine on a Booking

For a Booking with a Booking Fee of B:

  • The Mobile Vendor is charged: B + (4.2% × B) = Total Paid by MV
  • The Property Owner receives: B − (18.8% × B) = Net Payout to PO (before taxes, holds, and any processor payout or dispute fee borne by the Property Owner under Section 4.2)
  • Vendalize retains: (18.8% × B) + (4.2% × B) = 23.0% × B in Service Fees

3.2 Rounding

Service Fees are computed on the Booking Fee and rounded to the nearest cent (half-up). Rounding is applied to each Service Fee independently.

3.3 What the Service Fees cover

The Service Fees compensate Vendalize for providing the Platform and its automated infrastructure, including listing and discovery, Booking and scheduling, License Agreement generation and e-signature, payments facilitation through the Platform's third-party payment processor, insurance-verification tooling, communications infrastructure, and platform-level policy enforcement. The Service Fees are not, and do not include, any payment-processor fee, insurance premium, tax, or License Fee, none of which Vendalize retains as its own revenue except as expressly stated.


4. TAXES AND THIRD-PARTY PROCESSOR FEES

4.1 Taxes

All fees in this Fee Schedule are stated exclusive of taxes. Each User is solely responsible for determining, collecting, and remitting any taxes applicable to its activities, as set out in the Terms (§7.5) and the License Agreement. Vendalize may collect and remit certain taxes where required by law.

4.2 Payment-processor fees

Payments are facilitated through Vendalize's third-party payment processor. The processor may assess its own fees (for example, per-transaction processing fees, payout fees, instant-payout fees, or dispute fees). Such processor fees are separate from Vendalize's Service Fees. This Fee Schedule does not set processor fees; those are governed by the processor's own agreements with Vendalize and with the User. As between Vendalize and the Users, processor fees are borne as follows:

(a) Per-transaction processing fees. The processor's fees for processing the Mobile Vendor's payment of the Total Paid by MV are borne by Vendalize as a cost of the payments facilitation for which the Service Fees compensate it (Section 3.3). They are not added to the Total Paid by MV and are not deducted from the Net Payout to PO.

(b) Payout fees. A processor fee for disbursing funds to a Property Owner, including any additional fee for an instant payout the Property Owner elects, may be borne by the Property Owner as described in the Terms (§7.4).

(c) Dispute fees. A processor dispute fee may be passed through to the Property Owner where the dispute is attributable to the Property Owner's conduct, as described in the Terms (§7.6).


5. DISCOUNT AND VOLUME PROGRAMS

Vendalize may offer programs that reduce the PO Service Fee below the base rate for qualifying Property Owners. The availability, eligibility criteria, and rates of any such program are published by Vendalize and may be updated from time to time. Where a Property Owner qualifies for a program, the reduced PO Service Fee applicable to that Property Owner at the time a Booking is confirmed governs that Booking.

The following program types may be offered. The specific qualifying thresholds and rates in effect are those published by Vendalize at the time of Booking; the figures below are illustrative of the program structure and are not themselves binding rates unless published as the then-current criteria.

5.1 Volume-based tiers (Property Owners)

Reduced PO Service Fees for Property Owners based on booked volume over a defined period. The program is structured as a descending set of tiers (for example: a base Starter tier at the standard 18.8% rate, with successively reduced rates at higher monthly booked-volume thresholds). The MV Service Fee is not affected by PO volume tiers.

5.2 Organizational and partnership rates

Reduced PO Service Fees for multi-property organizations and enterprise property-management partners, applied as a negotiated or published discount from the base rate.

5.3 Nonprofit and religious organizations

Reduced PO Service Fees for Property Owners operating in Nonprofit Mode (as defined in the Terms, §5.10) and verified as eligible. Nonprofit Mode and any associated reduced rate require documentation and verification as set out in the Terms; reduced rates apply only while eligibility is verified and Nonprofit Mode is active.

5.4 Forfeiture of the Discount on Non-Qualifying Cancellation

A reduced PO Service Fee is a benefit extended to a Property Owner in good standing. Where a Property Owner cancels a confirmed Booking other than on a qualifying ground (License Agreement §9.4, Terms §8.2), the Property Owner forfeits the benefit of any reduced rate for that Booking, and the amount forfeited to and retained by Vendalize is computed at the base PO Service Fee rate of 18.8%, not the reduced rate that would otherwise have applied.

This applies only to the non-qualifying cancellation context. For all other purposes — including the computation of the Net Payout to PO on a completed Booking, and Service Fee treatment on any cancellation that is not a non-qualifying Property Owner cancellation — the reduced PO Service Fee actually applicable to the Booking governs.

The rationale is transparent and disclosed to Property Owners: the discount is a reward for good-standing platform participation; a discretionary cancellation outside the qualifying grounds is precisely the conduct the discount is not meant to subsidize. Removing the discount in that event prevents a perverse outcome in which a higher-volume Property Owner — who receives a steeper discount — would otherwise face a smaller cancellation deterrent than a Property Owner on the base rate.

5.5 First Listing Discount (Mobile Vendors)

A reduced MV Service Fee offered as a supply-side acquisition incentive. A Property Owner shares their First Listing Discount link (/r/[slug], /invite/[slug]); a Mobile Vendor who arrives via that link and completes a Booking with that Property Owner activates a 90-day (3-month) window during which the MV Service Fee on Bookings with that same Property Owner is reduced to the First Listing Discount rate of 0% (from the base 4.2%).

  • The discount is per–(Mobile Vendor, Property Owner) pair: each redeeming Mobile Vendor holds their own window with that Property Owner, and may hold concurrent windows with multiple Property Owners. One window per pair; the reduced rate is locked at activation for the life of that window and is not disturbed by a later change to the published rate.
  • The reduced leg is the MV Service Fee only. The PO Service Fee (18.8%) and the Property Owner's payout (Booking Fee × 0.812) are not affected — Vendalize absorbs the reduction as deliberate growth spend; the Property Owner is never charged for the incentive.
  • The window is activated only by a confirmed Booking via the Property Owner's discount link with no self-referral (the redeeming Mobile Vendor must not be the Property Owner). If the activating Booking is refunded, the window is revoked.
  • Transition (2026-08-04): the published rate changed from 2.1% to 0%. Windows active on that date are adjusted to the 0% rate — the locked-at-activation rule protects a Mobile Vendor from upward adjustment and never blocks a downward one. Expired windows retain their historical locked rate.

The reduced rate stated above (0%) is the then-current published First Listing Discount rate.

A one-shot notice is sent to the Mobile Vendor 7 days before a window's expiry so the transition back to the base MV Service Fee (4.2%) arrives explained rather than discovered on an invoice — product behavior only; it does not alter any fee term stated above.

5.6 First Booking Waiver (Mobile Vendors)

A waived MV Service Fee offered as a demand-side onboarding incentive. Its purpose is to dissolve the switching cost for a Mobile Vendor and Property Owner bringing an existing, pre-Vendalize direct arrangement onto the platform: the Mobile Vendor's first charged Booking carries an MV Service Fee of 0% (in place of the base 4.2%), so the first on-platform transaction of a previously off-platform relationship costs the Mobile Vendor nothing beyond the Booking Fee itself.

  • The waiver applies once per Mobile Vendor account, across the account's lifetime. It is not per-listing, per–Property-Owner, or renewable.
  • The waiver is consumed by the first Booking that is confirmed on a successful charge — including one the Mobile Vendor later cancels, other than for force majeure — and is held by a Booking whose payment window is in progress. The waiver is not consumed by a Booking that is never confirmed (for example, a checkout that expires or is abandoned before payment, or one whose payment arrives after its payment window has closed and is refunded in full automatically), or by a confirmed Booking cancelled by the Property Owner, by Vendalize, or for force majeure — each of which refunds the Mobile Vendor in full.
  • The waived leg is the MV Service Fee only. The PO Service Fee (18.8%) and the Property Owner's payout (Booking Fee × 0.812) are not affected — Vendalize absorbs the waiver as deliberate growth spend; the Property Owner is never charged for the incentive.
  • Where a Booking would qualify for both this waiver and a §5.5 First Listing Discount rate, the waiver governs that Booking (0% applies). Application of the waiver does not prevent the same Booking from activating a §5.5 window where that section's terms are independently met. With the §5.5 rate at 0%, the two programs are price-identical on the overlapping Booking; the waiver is still consumed by that first charged Booking per the once-per-account rule.

This section is the authoritative source for the platform's first-booking-waiver behavior (firstBookingFeeWaived; consumption is evaluated server-side per the once-per-account rule above).


6. FEES ON CANCELLATION AND REFUND

Service Fee treatment on cancellation is governed by License Agreement §9 and Terms §8, and is summarized here for reference. In the event of any conflict, the License Agreement and Terms govern.

6.1 Review Window

Where a Mobile Vendor cancels within the 24-hour Review Window (License Agreement §9.1), the Mobile Vendor receives a full refund of the Total Paid by MV, including both the MV Service Fee and any PO Service Fee — the Mobile Vendor is made whole.

6.2 Mobile Vendor cancellation after the Review Window

The MV Service Fee is non-refundable for any Mobile Vendor-initiated cancellation made after the Review Window, regardless of the Property Owner's selected cancellation tier. Refund of the Booking Fee, if any, follows the selected tier. On a partial Booking Fee refund, the PO Service Fee is retained by Vendalize only on the non-refunded portion of the Booking Fee.

6.3 Mid-Booking cancellation by Mobile Vendor

No refund of the Booking Fee or the MV Service Fee applies to a Mobile Vendor cancellation made after the beginning instant of the Booking Period (License Agreement §1.3). A cancellation under License Agreement Section 3.5 (Availability at Commencement) is not a Mid-Booking cancellation for purposes of this Section; it is treated as a qualifying Property Owner cancellation under Section 6.4.

6.4 Property Owner cancellation — qualifying grounds

Where a Property Owner cancels on a qualifying ground (License Agreement §9.4(a)), the Mobile Vendor is fully refunded including the MV Service Fee; the Property Owner forfeits the payout for the Booking; no PO Service Fee is forfeited; and Vendalize absorbs the foregone Service Fees.

6.5 Property Owner cancellation — non-qualifying grounds

Where a Property Owner cancels other than on a qualifying ground, the Mobile Vendor is fully refunded including the MV Service Fee; the Property Owner forfeits the payout for the Booking and forfeits the PO Service Fee at the base rate of 18.8% (calculated on the Booking Fee, regardless of any reduced rate that would otherwise have applied — see Section 5.4), which Vendalize retains. Recovery of the forfeited PO Service Fee follows the waterfall in Terms §7.6.1 and License Agreement §9.5(b). This is the retention of Vendalize's earned Service Fee notwithstanding the cancellation, not a separate penalty.

6.6 Force majeure and Vendalize-initiated cancellation

In a force majeure cancellation (License Agreement §9.6) or a Vendalize-initiated cancellation (License Agreement §9.7), the Mobile Vendor receives a full refund of the Total Paid by MV, including all Service Fees.

7. HOLDOVER PREMIUM

Where a Mobile Vendor remains on, enters or re-enters, or fails to remove property from a Space after the ending instant of the Booking Period (or, following early termination of the License Agreement, after the deadline in License Agreement §10.2), the Mobile Vendor owes the Property Owner a Holdover Premium as provided in License Agreement §10.5. This Section sets the amount, accrual unit, claim window, and Service Fee treatment of that premium.

7.1 Amount and accrual

The Holdover Premium accrues at two times (2×) the Listing's stated hourly rate as in effect at Booking confirmation for each hour, or portion thereof, during which the Mobile Vendor so remains.

7.2 Claim window and documentation

A Holdover Premium claim is submitted by the Property Owner through the Platform, with supporting evidence, within 72 hours of the later of the ending instant of the Booking Period, the vacate obligation under License Agreement §10.2 following early termination, or the instant the Property Owner first knew or reasonably should have known of the failure to vacate. Consistent with the documentation pattern of License Agreement §9.4, the Platform records the claim and its supporting evidence; Vendalize does not adjudicate their sufficiency. The Mobile Vendor may dispute a claimed Holdover Premium under License Agreement §11. A claim not submitted within the 72-hour window is not pursued through the Platform.

7.3 Payment and Service Fees

The Holdover Premium is payable by the Mobile Vendor to the Property Owner as additional License Fee, charged and disbursed through the Platform's third-party payment processor in accordance with License Agreement §4.2. The standard Service Fees under Section 3 apply to the Holdover Premium as they apply to a Booking Fee: the MV Service Fee is added to the amount charged to the Mobile Vendor, and the PO Service Fee is deducted from the amount disbursed to the Property Owner, each computed and rounded as provided in Section 3. Vendalize retains nothing from a Holdover Premium beyond those Service Fees.

7.4 Consecutive Bookings by the same Mobile Vendor

Consistent with License Agreement §10.5, no Holdover Premium accrues between two Bookings of the same Space by the same Mobile Vendor where the Platform records the second Booking as beginning at the instant the first ends, and only for so long as the second Booking remains confirmed and is not cancelled. While that applies, the obligation to vacate and remove attaches to the ending instant of the later Booking; upon cancellation of the second Booking, it attaches to the ending instant of the first.


8. CHANGES TO THIS FEE SCHEDULE

Vendalize may modify this Fee Schedule prospectively. Material changes will be communicated as provided in the Terms (§7.2, §20). The fees in effect at the time a Booking is confirmed govern that Booking and are not changed retroactively by any subsequent amendment. Continued use of the Platform after the effective date of a revised Fee Schedule constitutes acceptance of the revised fees for Bookings confirmed thereafter.


9. RELATIONSHIP TO OTHER DOCUMENTS

This Fee Schedule is referenced by, and should be read together with:

  • Terms of Service — §2 ("Service Fees" definition), §7.2 (Service Fees), §8.2 (Service Fees and Refunds), §7.6.1 (recovery of forfeited PO Service Fee)
  • Private Space License Agreement — §4.5 (Service Fees charged through the Platform, not part of the License Fee), §9 (cancellation and refund mechanics, including the defined terms Booking Fee, MV Service Fee, PO Service Fee, and Total Paid by MV), §10.5 (Failure to Vacate; No Holdover — the basis of the Holdover Premium in Section 7)
  • Stripe Connected Account Agreement — disbursement timing and holds (governed by the payment processor per ToS §7.4; there is no standalone Vendalize payout policy)

Vendalize may update this Fee Schedule from time to time. The Fee Schedule in effect when a Booking is confirmed applies to that Booking.
